State Archives of North Carolina"},{"label":"Language","value":["English"]},{"label":"Description","value":"The North Carolina Railroad Company (NCRR) was incorporated by the 1848-1849 legislature.  Ratified on 27 January 1849, the enabling act authorized a capitalization of $3 million.  Of this amount, the state subscribed $2 million and private investors subscribed $1 million.  Under terms of the legislation, the company was to be managed and directed by a board consisting of twelve directors.  They were elected annually by  fellow stockholders for one-year terms.  The NCRR was formally organized on 11 July 1850 at Salisbury and construction began the following year.  The railroad's service area  extended from Goldsboro to Charlotte.  Before the line was completed in  1856, the company ran out of money and petitioned the legislature for   additional funds.  The General Assembly of 1854-1855 amended the NCRR's charter to  increase the state's interest by $1 million in preferred stock.  Under   terms of that legislation, the composition of the board of directors was   also changed to eight members representing the state and four representing the private stockholders.  As provided in the company's  original act of incorporation, these directors would continue to be  elected at the annual stockholders' meeting for terms of one year.    Additionally, the state would thereafter be represented by a proxy   appointed by the governor.  This agent, however, was not entitled to vote   in the election of directors.  In 1871 the NCRR leased its tracks and property to the Richmond and Danville Railroad Company (RDRR) for thirty years.  Before that period ended, the Southern Railway Company acquired rights to the RDRR.   Subsequently, in 1895 the NCRR entered a similar lease agreement with the  Southern Railway Company for a term of ninety-nine years, from 1895 to    1994.  Years later, under a lease dated 31 December 1968, the NCRR and  the Southern Railway Company renegotiated a portion of the 1895 lease.    This renegotiation concerned three parcels of land located in Charlotte,  subjecting them to a lease expiring in the year 2067.  In 1982 the  Southern Railway Company became a subsidiary of the Norfolk-Southern  Corporation.  In the meantime, the General Assembly passed legislation which   affected the NCRR's board of directors.  A legislative act of 1925 placed  the governor and Council of State in charge of the state's interest in railroads and other works of internal improvement.  In 1955 the General  Assembly specified that the governor appoint eight new members to the  board of directors of the NCRR.  Under the Executive Organization Act of 1971, the board of directors  of the NCRR was placed under the general management of the Department of Transportation and Highway Safety.  By terms of this transfer, however,  the board retained its independence and its previously assigned statutory powers.  Through legislation passed in 1975, that department was reorgan- ized and renamed the Department of Transportation.  Additionally, the  General Assembly of that year authorized the department to make a study of the NCRR and the Atlantic and North Carolina Railroad Company (ANCRR), whose principal stock was also owned by the state.  In September of 1989, the NCRR acquired the ANCRR through a merger of the two companies.  As a result of the acquisition, the NCRR now owns  approximately 317 miles of continuous railroad from Charlotte to the port at Morehead City.  Prior to the merger, both companies had varied histories of lease and consolidation.  Yet both were similar in their corporate structures, as  well as in their patterns of ownership and operation.  The two corporate charters were combined with few changes.  Under terms of the new charter, however, the board of directors was increased from twelve to fifteen  members.  The governor appointed ten of these in staggered terms  totaling three years each.  The board's president, secretary and treasurer were to be elected from among these appointments.  The private shareholders selected the board's other five directors, including the  vice president, assistant secretary, and assistant treasurer.  Since the merger of 1989, the NCRR had continued its operations under private management.  Virtually all of the railroad properties acquired  from ANCRR have remained subject to a 1939 lease and subsequent amend- ments involving the ANCRR and the Atlantic and East Carolina Railway Company (AECR).  In 1957, AECR became a wholly owned subsidiary of the  Southern Railway Company, which by 1982 had become a majority-owned subsidiary of the Norfolk-Southern Corporation.  Likewise, the NCRR  assets which had been operated by the Southern Railway since 1895 came under the Norfolk-Southern corporate umbrella in 1982.  In terms of daily operations, the leased tracks and properties are run by Southern Railway and its subsidiary, the AECR.  The two leases dating from 1895 and 1939 were scheduled to expire in 1994.
